SOLD NOW ACCEPTABLE USE POLICY

This Acceptable Use Policy (the "AUP") governs your use of the SOLD Now software application, mobile configurations, and related digital services (collectively, the "Platform", "SOLD Now", "Service") operated by SOLD Now LLC, a Texas limited liability company ("us", "we", "our", or the "Company").

This AUP is incorporated into and forms part of the SOLD Now Terms of Service (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms. A violation of this AUP is a material breach of the Terms, and the Company may suspend or terminate an account on that basis under Section 6 of the Terms.

1. Prohibited Conduct

You agree not to, and not to permit any third party to:

(a) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;

(b) scrape, harvest, or extract data from the Platform by automated means, or access the Platform to build a competing product;

(c) resell, rent, lease, sublicense, or share account access with persons outside your business;

(d) upload malicious code, attempt to breach or probe the Platform's security, or access another Subscriber's data silo;

(e) use the Platform to store or transmit unlawful content or to conduct unlawful activity; or

(f) misrepresent your identity or business in connection with the Service.

2. Messaging and Outreach

The Platform provides email and text messaging (SMS) tools for communicating with your own customers. Section 5 of the Terms places the full compliance burden for those communications on you. In addition, you agree not to:

(a) send messages to any recipient who has not given the consent that applicable law requires for the category of message being sent, including the express written consent required by the Telephone Consumer Protection Act (TCPA) for marketing text messages;

(b) upload, import, or message a contact list that you did not collect yourself, including purchased, rented, scraped, or appended lists;

(c) ignore, delay, or circumvent an opt-out request, including a reply of STOP to a text message or an unsubscribe request from an email;

(d) send messages that misidentify the sender, use a deceptive subject line, or omit the sender identification and opt-out instructions that applicable law requires;

(e) use the Platform's messaging tools to send phishing, fraudulent, chain, or bulk unsolicited messages, or content unrelated to the resale business associated with your account; or

(f) distribute your messaging volume across multiple accounts, phone numbers, or sending domains in order to evade carrier filtering, volume limits, or messaging-provider registration requirements.

3. Public Pages and Storefronts

The Platform lets you publish public pages, including SOLD Tag pages, Raid Train Sign-Up pages, Boarding Passes, and — where you have the add-on — an online store. When you publish such a page you additionally agree not to:

(a) offer any item whose sale is prohibited by law, or whose sale requires a license or registration you do not hold;

(b) publish content that infringes another party's copyright, trademark, or other intellectual property rights, including counterfeit goods and unlicensed reproductions;

(c) publish content that is defamatory, harassing, obscene, or that depicts or promotes violence or unlawful discrimination;

(d) misrepresent the condition, provenance, authenticity, age, or price of an item, or the identity of the business offering it; or

(e) use a published page to collect personal information for a purpose you have not disclosed to the person providing it; or

(f) offer, list, or publish any of the following through the Platform, whether or not you could lawfully sell it elsewhere: firearms, ammunition, hazardous materials, recall items, stolen property, regulated wildlife or ivory products, prescription medications, or age-restricted items sold without the verification the law requires.

3.1. Removal of Listings and Content

We may remove, delist, or disable access to any item, image, description, or other content published through the Platform — including anything on your online store, your SOLD Tag page, or your Raid Train pages — at our sole discretion and without prior notice. We may do so whether or not the content violates this AUP, including where we consider it necessary to protect the Platform, other Subscribers, our payment processors, our messaging or hosting providers, or the Company's own legal or commercial position.

Where practicable we will notify you of a removal at the account email address and identify what was removed. We have no obligation to monitor content published through the Platform, and no obligation to remove content at the request of you or any third party.

Removal of individual content is not a suspension or termination of your account, does not affect your subscription, and does not entitle you to a refund or credit. It does not limit our rights under Section 8 of this AUP or Section 6 of the Terms. Your underlying inventory records and other Subscriber Data are unaffected by a removal and remain exportable as described in Section 4 of the Terms.

4. Marketplace and Third-Party Integrations

Where you connect a third-party account — such as a marketplace, payment processor, or messaging provider — to the Platform, you agree not to:

(a) connect an account you are not authorized to use;

(b) use the integration in a manner that violates the third party's own terms, developer policies, or rate limits; or

(c) use the Platform to operate a marketplace account on behalf of an undisclosed third party.

You remain responsible for your relationship with each connected third party, and for any fees, penalties, or account actions that party imposes.

5. AI-Assisted Features

The Platform offers optional AI-assisted features, as described in Section 7 of the Terms, in our Privacy Policy, and — including the list of providers engaged and what each receives — in Section 8.1 and Annex A.2 of our Data Processing Addendum. You agree not to submit to those features any content you are not entitled to submit, and not to rely on their output as legal, tax, appraisal, or authentication advice. You remain responsible for reviewing AI-generated output before publishing or acting on it.

6. Platform Integrity

You agree not to:

(a) interfere with, disrupt, or place an unreasonable load on the Platform's infrastructure, including through denial-of-service traffic or automated request volume beyond ordinary interactive use;

(b) circumvent or attempt to circumvent any usage limit, plan tier restriction, active-user count, or access control; or

(c) use the Platform to store or process data that is subject to regulatory regimes the Service is not designed for, including protected health information governed by HIPAA, cardholder data outside the payment processor's scope, or government-classified information; or

(d) use the Service primarily for remote file storage, archiving, or video/media hosting unrelated to active inventory management or resale operations.

7. Reporting a Violation

To report conduct that you believe violates this AUP, email info@soldnow.app with the account, page, or message concerned and enough detail for us to investigate. We investigate reports in good faith but do not commit to a particular outcome or response time, and we are not obligated to disclose the result of an investigation to the reporting party.

Copyright complaints follow a separate process. If you believe content on a public page infringes your copyright, please follow our DMCA Takedown Procedure in Section 6.3 of the Terms of Service.

8. Enforcement

Enforcement of this AUP is governed by Section 6 of the Terms. In summary, and without limiting that Section, we may investigate suspected violations, remove or disable access to offending content, suspend an account, or terminate an account for cause. Where suspension is reasonably necessary to protect the security or integrity of the Platform or other Subscribers, we may act before giving notice. A Subscriber terminated under this AUP retains the export rights described in Section 4 of the Terms for the duration of the Grace Period, except where the account was used for unlawful activity or poses an ongoing security threat.

9. Changes to This Policy

We may update this AUP as the Platform and applicable law change, on the same basis and with the same notice as described in Section 12 of the Terms. Continued use of the Service after an update takes effect constitutes acceptance of the updated AUP.
